If you are entering into an agreement on behalf of a company, you represent that you have the authority to bind that entity to these Terms.

Logicora provides software development, artificial intelligence, SaaS development, cloud, automation, and IT consulting services. The specific scope, deliverables, timeline, and pricing of any engagement are defined in a separate written agreement between you and Logicora.

In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement governs.

Unless otherwise agreed in writing, invoices are payable according to the payment terms specified in the applicable proposal, quotation, or service agreement.

Late payments may result in the suspension of services until all outstanding amounts have been paid.

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the site. You may not use our website to transmit viruses, malware, or harmful code, or to attempt unauthorized access.

We may modify, suspend, or discontinue any part of our website at any time without notice.

All content on our website — including text, graphics, logos, designs, and software — is the property of Logicora LLC or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Ownership of deliverables created during an engagement is addressed in the applicable engagement agreement.

For engagements, clients are responsible for providing accurate information, timely feedback, necessary access and credentials, and any third-party materials required for the work. Delays in client-provided inputs may affect timelines and pricing.

Either party may terminate an engagement in accordance with the applicable service agreement.

Logicora LLC reserves the right to suspend or terminate access to its website or services for violations of these Terms or applicable law.

We respect the confidentiality of information you share with us. A separate mutual non-disclosure agreement may be executed prior to detailed discussions, and the confidentiality terms in any signed agreement apply.

We strive to deliver high-quality services. However, except as expressly stated in a signed engagement agreement, our services are provided “as is” without warranties of any kind, whether express or implied.

We do not warrant that our website will be uninterrupted or error-free, or that any results will meet your specific expectations.

To the maximum extent permitted by law, Logicora LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.

Our total liability for any claim arising out of or related to an engagement is limited to the amounts paid by you for the services giving rise to the claim, as set forth in the engagement agreement.

Logicora LLC shall not be liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, internet outages, governmental actions, labor disputes, or other unforeseen circumstances.

You agree to indemnify and hold Logicora LLC harmless from claims, damages, and expenses arising from your breach of these Terms, your misuse of our website, or your violation of applicable law or third-party rights.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Wyoming.

We may revise these Terms at any time. The most current version will always be posted on this page with an updated “last updated” date. Your continued use of our website after changes take effect constitutes acceptance of the revised Terms.
